We pride ourselves on doing our absolute best in delivering quality and functional designs to fulfill our client's needs. Still, it remains necessary to ensure a few simple things are outlined on paper should any questions or issues arise. Our goal is to maintain clarity throughout all our communications.

This Web Design Contract becomes effective as of May 22, 2025 between:

(hereinafter "JTWD")

 

Together, they're collectively known as the "Parties."  Starting from the payment date, JTWD will provide design services as outlined below. (“Services”)

  • FRONT-SIDE

    A fully automated system to accept bookings, sell products and take payments. Included are 10 unique pages (which is plenty). Most businesses have a combination of the following: Home, About, Contact, Menu of Services, Individual Services, Booking, Shop, Product Page, Blog, FAQ, Reviews, Terms/Privacy or any other page specific to you. Pages with a repeating format (such as product page, blog page, service page, etc) will count as just one page, regardless of how many actual pages are used.

    BACK-END

    The custom portal that you log into and manage everything in one place. Invoices, contracts, client forms, employee schedules, client communication, inventory, payroll, marketing, etc. Literally, all your business needs, which are different for every client.

     

    TEN AUTOMATIONS

    If its a repeatable task, our objective is to automate it! For example:

     

    • Client finishes appointment and leaves without booking the next > AUTOMATICALLY send them a text in 2 days to remind them to schedule their next appointment.

    • Customer purchased ProductX 4 weeks ago so AUTOMATICALLY send an email reminding them to order again before they run out, linking to that specific item.

    • New events added to your personal calendar (and/or those of your staff) AUTOMATICALLY block off time on the client calendar so there's no accidental double bookings.

  • ​BOTH PARTIES

    As a valued client, your participation is key to initiating this contract on behalf of your company or organization. By doing so, you're committing to providing us with all necessary materials for the project—such as logos, text, images, social media links, hosting credentials, and any other required information—in the format we request. Our aim is to prevent any unnecessary delays. Deadlines are mutual agreements; hence, you will also be expected to honor any dates or timelines we establish. Additionally, adhering to the payment schedule outlined in this agreement is part of the mutual understanding.

     

    We possess the expertise and capability to fulfill the requested services promptly and professionally. However, it's important to note that if content or revisions are not provided on time, we cannot be held accountable for any potential delays in website launches or project deadlines. Should a project deadline be missed, we retain the right to postpone project completion to our next available date. Our goal is to collaborate effectively and ensure a smooth, timely project execution, and we appreciate your cooperation in meeting these mutually agreed-upon terms.

    AGREEMENT

    Client wishes to hire JTWD to provide services relating to Client's Web Design project (“Project”) as detailed in the proposal. JTWD has agreed to provide such services (“Services”) according to the terms of this Agreement.

     

    AGREEMENT TERM

    This contract is effective from the moment it's signed until we complete the design and all revisions on your website. If there's a need to extend or renew the agreement, both parties must discuss and agree upon it. Contract termination occurs upon service completion or if a refund is requested after work commencement.  The contract becomes void at that point, and further work is not obliged unless otherwise determined by JTWD.

    COST, PAYMENTS & REFUNDS

    The total cost for all Services is due in full upon starting this project. Your payment secures our commitment to your project, compensating us for dedicating resources and turning down other potential projects. Should you decide to cancel, you may do so within the 3 day grace period and receive a full refund. If you decide not to continue after the grace period, no refund will be issued, and the contract will be void. 

    ENGAGEMENT AND DELIVERABLES

    The estimated timeframe for completing your website is around 7 to 10 days, which includes time for any revisions you might need. The countdown begins once we have your questionnaires and materials in hand. To kick-start the process, we'll need a this signed contract and an initial deposit, which is non-refundable.

     

    It's important to emphasize that we're counting on you and your team to provide the necessary materials like website text, photos, social media links, product details, pricing information, and approvals. This allows us to begin crafting your website without any hitches and ensures we stick to your planned website launch date. Once your contract is signed, we'll promptly provide you with all the guidance and tools you need to start assembling the content for your website. We're here to support you every step of the way.

     

    DESIGNER CONFIDENTIALITY

    During our design process, we may need access to and create potentially confidential information and documents. This includes personal information, company data, financial records, and more. We acknowledge that this information is confidential and won't be shared with any third parties unless you explicitly request it. After our services end or at your request, we'll promptly return all confidential materials to you.

     

    CLIENT CONFIDENTIALITY

    As we work on your design, you may have access to potentially confidential information, including our personal data and company information. You agree to keep this information confidential and not disclose it to any third parties unless we explicitly request it. Similarly, upon completion of services or our request, you'll return all confidential information to us.

     

    ERROR REVIEW

    After completing your brand or website, you have a 2-week window to review for any errors, excluding new revisions. It's your responsibility to check and report any errors during this time. Any issues identified after this period will incur charges based on the current hourly rate.

     

    BROWSER FUNCTIONALITY

    Our websites are tested for functionality on current browsers like Safari, Chrome, and Firefox. However, we cannot guarantee an identical appearance across all screens due to variations in screen resolutions and ratios.

     

    STATEMENT OF WORK

    The price quote and project scope are based on our discussions, emails, forms, or calls. The breakdown is outlined in the proposal document. We're responsible only for what's specified in the proposal document. Any additional requests or changes beyond the initial agreement will incur additional charges.

     

    STYLE RELEASE

    Your expectations for your website align with our design capabilities. We reserve the right to make decisions ensuring a satisfactory outcome.

     

    LICENSE

    By signing, you grant us a revocable license to use and market the deliverables and related materials created during the design process.

     

    EXCLUSIVE DESIGN CREDIT

    We reserve the right to display "Designed by @joythewebdesigner" on your website. Removing this credit incurs a fee.

  • FORCE MAJEURE

    In uncontrollable events affecting services, the affected party is excused from obligations until the situation is resolved, provided prompt written notice is given.

     

    INDEPENDENT CONTRACTOR

    We're an independent contractor and not your employee or agent. We're responsible for our performance and taxes.

     

    NON-DISPARAGEMENT

    Both parties agree not to criticize or defame each other. Legal or governmental requirements are exceptions.

     

    WARRANTIES AND REPRESENTATIONS

    Both parties confirm their ability to enter into this agreement without violating any previous contracts. You warrant the right to use content created by us.

     

    ASSIGNMENT

    This Agreement is personal and cannot be assigned without written consent from both parties.

     

    WAIVER

    No waiver of any provision shall be effective unless explicitly set forth in writing.

     

    SEVERABILITY

    If any part of this Agreement is illegal or unenforceable, the remaining provisions remain valid.

     

    MERGER AND FINAL AGREEMENT

    This Agreement supersedes all earlier agreements and constitutes the final understanding between the Parties.

     

    AMENDMENT

    Any changes to this Agreement require written consent from both Parties.

     

    NOTICE

    All communications under this Agreement must be in writing and sent to the provided email addresses.

     

    INDEMNIFICATION

    You agree to indemnify us from any third-party claims resulting from a breach of this Agreement.

     

    LIMITATION OF DAMAGES

    Our liability under this Agreement is limited to the amount paid for our services. Neither party is liable for indirect or consequential damages.

     

    SURVIVAL

    Termination doesn’t affect accrued rights or liabilities or provisions intended to continue after termination.

     

    GOVERNING LAW

    This Agreement is governed by the laws of the State of Georgia.

     

    MEDIATION

    Disputes related to this Agreement will attempt resolution through mediation before legal proceedings.Disputes shall be resolved via binding arbitration. Each party selects an arbitrator, and if necessary, a third arbitrator is jointly chosen to preside over the matter. Arbitration decisions are final and binding, enforceable by law.

     

    CHARGEBACKS

    Filing for a refund before a chargeback doesn't absolve you from financial responsibility. Chargebacks may result in the forfeiture of deliverables.

     

    BUSINESS HOURS

    Our operating hours are Monday-Friday, and we aim to respond within 24 business hours.

     

    CLIENT TERMINATION

    We reserve the right to terminate the agreement if the client's conduct is detrimental to us. The client cannot unilaterally terminate the agreement.

     

    REPRODUCTION OF PRODUCT

    Upon full compensation to JTWD, you gain full and unlimited reproduction rights to the Project. While JTWD retains the right to use the Project for marketing or promotional uses, it will not be used for commercial or for-profit purposes. Artwork not included in the final Project remains the sole property of JTWD.

     

    WARRANTY

    JTWD pledges to deliver its services promptly and professionally, meeting or exceeding generally acceptable standards in our community and region.

     

    DEFAULT

    A material default under this Contract includes the failure to make a required payment, failure to submit all requested information within 90 days, or initiating a refund procedure once work has begun.

     

    REMEDIES

    In case of default, the non-defaulting party may terminate the Contract after providing written notice, allowing 5 days to cure the default(s). Failure to remedy within this period results in automatic termination.

     

    ENTIRE AGREEMENT

    This Contract constitutes the entire agreement between the parties, superseding all prior agreements, written or oral.

     

    WAIVER OF CONTRACTUAL RIGHT

    Failure to enforce any provision doesn’t limit subsequent enforcement.

     

    GENERAL PROVISIONS

    Matters arising from this Agreement are governed by Georgia laws, including torts.
